The following notice applies to U.S. residents who owned shares in Playa Hotels & Resorts N.V. as of June 11, 2025.
In 2025, Hyatt Hotels Corporation (“HHC”), a U.S. resident corporation and taxpayer, acquired all of the outstanding, not already owned by HHC, shares of Playa Hotels & Resorts N.V. Following the posting of this notice, HHC will make an election under Section 338(g) of the Internal Revenue Code of 1986, as amended, (“IRC”) with respect to the acquisition of Playa Hotels & Resorts N.V. This communication serves as notice of an election under Section 338(g) of IRC for Playa Hotels & Resorts N.V.
